CPR Equipment Loan Agreement

This Equipment Loan Agreement (the "Agreement") is entered into on the date of Borrower's Registration, by and between:

  • Lender: Safety Check Services DBA Texas CPR Lady, located at 100 Commercial Circle, Building A, Conroe, TX 77034, ("Lender"), and
  • Borrower: Student registering for Virtual Skills Verification at TexasCPRLady.com.

Recitals The Lender owns or controls certain CPR-related equipment (the "Equipment") and agrees to loan it to the Borrower on a temporary, no-cost basis for training. The Borrower agrees to accept the loan under the terms below.

1. Description of Equipment The following Equipment is loaned under this Agreement:

  • 1 x Adult Manikin
  • 1 x Infant Manikin
  • 1 x AED (Automated External Defibrillator trainer)
  • 1 x Adult Bag Mask Valve Device
  • 1 x Infant Bag Mask Valve Device

The Borrower acknowledges receipt of the Equipment in good working condition after inspection.

2. Term of Loan The loan period begins on the date of the scheduled class and ends on the date the class is completed. The Lender may terminate the loan and demand immediate return of the Equipment immediately in case of misuse or emergency need.

3. Borrower's Responsibilities The Borrower agrees to:

  • Use the Equipment only for lawful, intended purposes related to CPR/first aid, BLSĀ  training.
  • Keep the Equipment in a safe, secure location and protect it from damage, theft, loss, or unauthorized use.
  • Not modify, repair, or attempt to repair the Equipment without prior written approval from the Lender.
  • Not loan, transfer, sub-loan, or assign the Equipment to any third party.
  • Immediately notify the Lender of any damage, malfunction, loss, theft, or need for maintenance.
  • Return the Equipment by the end date (or upon demand) in the same condition as received, normal wear excepted.
  • Clean and sanitize the Equipment (per manufacturer guidelines) before return.
  • Bear all costs for return shipping/delivery if applicable.

4. Inspection and Condition The Borrower will inspect the Equipment and will confirm it is in good working order and suitable for its intended use. The Borrower will be responsible for any repairs or replacement costs due to damage, loss, theft, or misuse occurring during the loan period outside normal wear due to normal use during training.

5. Liability and Indemnification

  • The Equipment is provided "AS IS" without any warranties, express or implied, including fitness for a particular purpose.
  • The Borrower assumes all risk of use, including any injury, death, or property damage arising from use or misuse of the Equipment.
  • The Borrower agrees to indemnify, defend, and hold harmless the Lender, its officers, employees, and agents from any claims, losses, damages, liabilities, costs (including reasonable attorneys' fees) arising from the Borrower's possession, use, or return of the Equipment.

6. Replacement / Repair Costs In the event of loss, theft, damage beyond normal wear, or failure to return the Equipment:

  • The Borrower shall reimburse the Lender for the reasonable replacement or repair cost (up to the full replacement value listed above).
  • The Lender may invoice the Borrower, and payment shall be due within 7 days.

7. Return of Equipment Upon expiration or termination of this Agreement, the Borrower shall return the Equipment to the Lender at the training location in clean, sanitary condition. Failure to return may result in additional charges or legal action.

8. Governing Law This Agreement shall be governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Montgomery County, Texas.

9. Entire Agreement This document constitutes the entire agreement between the parties and supersedes any prior understandings. Amendments must be in writing and signed by both parties.

10. Certification Card Issuance Policy Certification cards (e.g., CPR/AED/First Aid completion cards) will only be issued upon successful return of all loaned equipment in good condition (subject to normal wear and tear, as noted during retrieval inspection).

  • Return must occur by the agreed return date or any approved extension.
  • All items must be accounted for, complete, and free of unreported damage or loss (per Section 2 comments/exceptions).
  • Once equipment is verified as returned satisfactorily, your certification card will be processed and issued/emailed within 1 business day.
  • Failure to return the equipment in acceptable condition may result in withholding of the certification card, additional fees for replacement/repair, or other actions per the loan agreement.

Contact the training coordinator immediately if you anticipate any issues with return or condition.

10. Electronic Signature and Acceptance The parties agree that this Agreement may be executed electronically. The Borrower's electronic acceptance of terms at checkout or registration constitutes a valid signature and binding agreement.
