Terms of Service for Virtual Training Program

These Terms of Service ("Terms") govern your enrollment in and participation in the virtual training program ("Program") offered via Zoom or similar virtual platform ("Provider"). By registering for the Program, paying any applicable fees, or receiving delivered equipment, you agree to be bound by these Terms.

1. Program Description
The Program consists of live virtual training sessions conducted via Zoom. Training equipment ("Equipment") necessary for hands-on participation will be delivered to eligible participant's address prior to the start of the class. The Program is designed to provide skills training in American Heart Association Basic Life Support (HeartCode BLS). Completion of HeartCode BLS online is required prior to participation in the Virtual Skills Session. The cost of the HeartCode BLS online portion is separate and NOT included in the Program fee. 

2. Eligibility and Service Area
The Program, including Equipment delivery and pickup, is available **only** to residents of the following ZIP codes: 77301, 77302, 77303, 77304, 77306, 77316, 77318, 77328, 77339, 77354, 77355, 77356, 77357, 77358, 77362, 77365, 77372, 77378, 77380, 77381, 77382, 77384, 77385, 77386, 77393, 77340, 77341, 77343, 77344, 77348, 77349, 77342, 77375, 77389, 77388, 77373 (partial coverage areas included where applicable).

You must provide proof of residency in an eligible ZIP code upon registration. Provider reserves the right to cancel registration and refund fees if eligibility cannot be verified.

3. Equipment Loan
- Provider will deliver the Equipment to your provided address prior to the Program start date.
- The Equipment remains the sole property of Provider at all times.
- You are granted a limited, non-transferable license to use the Equipment solely for participation in the Program.
- You agree to use the Equipment with reasonable care, in accordance with any provided instructions, and only for its intended purpose.
- You are fully responsible for any loss, theft, damage, or destruction of the Equipment from the time of delivery until Provider's pickup and inspection.
- Normal wear and tear is expected, but you will be liable for repair or replacement costs (at Provider's discretion) for any damage beyond normal wear and tear, including missing parts or accessories.
- You may not modify, sublease, loan, or transfer the Equipment to any third party.
- Provider will arrange pickup of the Equipment after Program completion. You must make the Equipment available for pickup in its original condition (subject to normal wear and tear) at the scheduled time.

4. Certificate of Completion
- A Certificate of Completion will be issued only upon successful completion of the Program requirements (e.g., attendance, participation, and any assessments).
- Issuance of the Certificate is conditioned upon Provider's successful pickup and inspection of the Equipment confirming it is returned intact, undamaged (beyond normal wear and tear), and complete.
- If the Equipment is not returned, is damaged, or is incomplete, Provider may withhold the Certificate until the issue is resolved, including payment of any repair/replacement costs.
- Withholding the Certificate does not relieve you of responsibility for Equipment-related obligations.

5. Fees and Payment
- Program fees (if any) are as stated during registration and are non-refundable except as provided herein.
- You may be required to pay a refundable security deposit for the Equipment, which will be returned upon satisfactory Equipment return.
- Additional charges for damaged, lost, or unreturned Equipment will be invoiced separately and are due within 30 days.

6. Attendance and Conduct
- Participants must attend virtual sessions via Zoom with camera on and actively participate.
- Disruptive behavior, including harassment or violation of Zoom etiquette, may result in removal from the Program without refund or Certificate.
- Sessions may be recorded for quality and training purposes; by participating, you consent to such recording.

7. Cancellation and Refunds
- You may cancel registration up to 7 days before the Program start for a full refund (minus any administrative fees).
- If Provider cancels the Program, a full refund will be issued.
- No refunds after Equipment delivery or Program commencement.

8. Liability and Indemnification
- Provider is not liable for any indirect, incidental, or consequential damages arising from the Program or Equipment use.
- You agree to indemnify and hold Provider harmless from any claims arising from your use of the Equipment or participation in the Program.
- You are responsible for maintaining adequate insurance for personal injury or property damage during Equipment use.

9. Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Montgomery County, Texas.

10. Miscellaneous
- These Terms constitute the entire agreement between you and Provider.
- Provider may amend these Terms at any time, with changes effective upon posting or notice.
- If any provision is held invalid, the remainder shall continue in full force.

By enrolling in the Program, you acknowledge that you have read, understood, and agree to these Terms of Service.
